RSM’s M&A and private equity team has advised the shareholders of Practice Labs Systems Limited (‘Practice Labs’), on its sale to ACI Learning, Inc., backed by US private equity firm Boathouse Capital.

The Client

Practice Labs, based in Dartford, Kent, is an industry leader in virtual IT and cyber security lab assessments with a broad network of channel and university partners. US-based ACI Learning has added Practice Labs to its portfolio of audit, cyber, and IT learning and assessment solutions for enterprise and consumer markets.

The acquisition of Practice Labs enables ACI Learning to offer a beginning-to-end learning journey with virtual lab capabilities. Together, ACI Learning and Practice Labs offer a platform where users can learn, practice, and prove their IT skills in real-world situations. Their award-winning performance learning solutions consist of live virtual lab environments aligned with certifications from leading vendors such as CompTIA, Microsoft, Cisco, and VMware.

RSM’s M&A and private equity team supported the founders in the discussions with interested parties, negotiated to improve the deal terms and project managed the deal through to completion. RSM also provided transaction tax advice.
